Terms of Use

1. Agreement to these Terms

These Terms of Use (the "Terms") form a legally binding agreement between you and Geedup Entertainment (operating as "Geedup Pass"), based in Ontario, Canada ("Geedup Pass", "we", "us", "our").

These Terms govern your access to and use of the Geedup Pass website at geedupentertainment.com, our ticket purchase and check-in services, and any related services (together, the "Platform").

By creating an account, purchasing a ticket, listing an event, scanning a ticket, or otherwise using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" means that entity.

2. Definitions

  • "Event" means any concert, performance, festival, party or other occasion for which Tickets are made available through the Platform.
  • "Organizer" means the person or entity that produces, promotes or hosts an Event and makes Tickets available for sale through the Platform.
  • "Attendee" or "Buyer" means a person who purchases or holds a Ticket.
  • "Ticket" means a digital credential issued through the Platform granting admission to an Event, including any QR code or similar.
  • "Face Value" has the meaning given to it under the Ticket Sales Act, 2017 (Ontario), as amended.
  • "Service Fees" means the fees we charge in connection with a Ticket sale, as disclosed at checkout.
  • "User" means any person who accesses or uses the Platform, including Buyers, Organizers and their personnel.

3. What Geedup Pass Is — and Is Not

Geedup Pass is a ticketing platform and payment facilitator. We are not the producer, promoter, owner or operator of Events, and we are not the venue.

When you buy a Ticket through the Platform, you are entering into a transaction with the Organizer, not with Geedup Pass. We act as the Organizer's limited agent for the purpose of processing that sale and collecting the purchase price on their behalf. Payment to us discharges your payment obligation to the Organizer.

Accordingly, the Organizer — not Geedup Pass — is responsible for:

  • the Event taking place as advertised, including date, time, location, line-up and content;
  • the accuracy of Event listings, descriptions, images and pricing information;
  • admission policies, age restrictions, capacity, security, and conditions of entry;
  • cancellations, postponements, reschedulings and any resulting refunds;
  • health, safety and accessibility at the venue; and
  • compliance with all licensing, liquor, insurance, health and safety, and municipal requirements applicable to the Event.

We do not endorse, guarantee or vet Events or Organizers beyond the checks described in section 9, and we make no representation that any Event will meet your expectations.

Nothing in this section limits any right you have under the Consumer Protection Act, 2002 (Ontario), the Ticket Sales Act, 2017 (Ontario), or other applicable consumer protection legislation.

4. Eligibility and Accounts

4.1 Age. Every Geedup event carries a 19+ admission policy. You must be at least 19 years of age to purchase a Ticket or create an Organizer account.

4.2 Organizer accounts. Organizer dashboard accounts are personal to the individual invited and may not be shared, sold or transferred. You agree to provide accurate, current and complete information.

4.3 Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@geedupentertainment.com if you suspect unauthorized access.

5. Buying Tickets

5.1 All-in pricing. As required by the Ticket Sales Act, 2017, we disclose the total price of each Ticket, together with a separately itemized service fee, before you complete your purchase. All amounts are shown and charged in Canadian dollars (CAD).

5.2 Purchase limits. Organizers may set limits on the number of Tickets any one person may purchase per order. We may cancel orders that we reasonably believe were placed in breach of section 7.

5.3 Order confirmation. Your order is not accepted until we send you a confirmation. We may decline or cancel any order, including where we reasonably suspect fraud, payment failure, or pricing error. If we cancel an order for one of these reasons and you are not at fault, we will arrange a full refund of amounts paid.

5.4 What a Ticket is. A Ticket is a revocable, limited licence to attend the Event, subject to the Organizer's and venue's terms of admission. It does not confer any ownership or property interest in the Event or venue.

5.5 Your responsibility for the Ticket. Keep your Ticket and its QR code secure. Anyone presenting a valid code may be admitted. We are not responsible for lost, stolen or duplicated Ticket codes, but contact us at info@geedupentertainment.com and we will assist where reasonably able.

5.6 Delivery. Tickets are delivered electronically as a PDF to the email address provided at checkout. It is your responsibility to provide a valid email address and to check your spam folder.

6. Fees, Payment and Taxes

6.1 Service Fees. We charge a Service Fee for use of the Platform, disclosed at checkout as its own line item and paid by the buyer on top of the ticket price — the Organizer receives 100% of the listed ticket price.

6.2 Payment processing. Payments are processed by Stripe, Inc. and are subject to Stripe's own terms and privacy policy. We do not store full payment card numbers.

6.3 Chargebacks. Initiating a chargeback without first contacting us or the Organizer is a breach of these Terms. Where a chargeback is found to be unwarranted, we may cancel the associated Tickets, deny admission, and recover the disputed amount from you.

6.4 Taxes. Prices include or add applicable taxes (HST) as indicated at checkout.

7. Prohibited Conduct

You must not, and must not permit any person or automated system acting on your behalf to:

  1. use ticket bots — that is, use software or any other method to circumvent security measures, access controls or purchase limits on the Platform in order to acquire Tickets. This is prohibited by these Terms and by the Ticket Sales Act, 2017;
  2. purchase Tickets in excess of published limits, or use multiple accounts or identities to do so;
  3. resell or transfer a Ticket other than in accordance with section 11;
  4. counterfeit, duplicate, alter or tamper with a Ticket or QR code;
  5. scrape, crawl or harvest the Platform, or access it by automated means;
  6. probe, scan or attempt to breach the security of the Platform, or introduce malware;
  7. use the Platform to launder money or process payments unrelated to a genuine Event;
  8. impersonate any person or entity, or misrepresent your affiliation with an Organizer, venue or artist;
  9. post Content that is unlawful, defamatory, hateful, harassing or infringing; or
  10. use the Platform in violation of any applicable law, including anti-spam (CASL) and consumer protection laws.

We may investigate suspected breaches and may suspend accounts, void Tickets and deny admission where we reasonably believe a breach has occurred.

8. Cancellations, Postponements and Refunds

8.1 The Organizer sets the refund policy. Each Organizer sets the refund policy for its Event, disclosed on the Event page before you purchase.

8.2 Default position. Unless the Organizer's policy states otherwise, or applicable law requires otherwise, all Ticket sales are final and Tickets are not refundable or exchangeable.

8.3 Cancelled Events. If an Event is cancelled in its entirety and not rescheduled, you are entitled to a full refund of the Ticket price. Service Fees are non-refundable, as disclosed at checkout, except where applicable law requires otherwise. Refunds are issued to the original payment method, generally within 10–15 business days of the cancellation.

8.4 Postponed or rescheduled Events. If an Event is postponed, your Ticket will ordinarily be valid for the new date. Whether a refund is available is determined by the Organizer's policy.

8.5 Your statutory rights. Nothing in this section limits rights you may have under the Consumer Protection Act, 2002 (Ontario), the Ticket Sales Act, 2017, or other applicable consumer protection legislation.

8.6 Incidental costs. We are not responsible for travel, accommodation or other incidental costs you incur in connection with an Event, including where the Event is cancelled, postponed or changed.

9. Terms for Event Organizers

This section applies to you if you use the Platform to list an Event or sell Tickets.

9.1 Appointment. You appoint Geedup Pass as your limited agent to market and sell Tickets to your Event, to collect the purchase price and applicable taxes on your behalf, and to issue refunds in accordance with your published policy.

9.2 Your representations. You represent and warrant that you have the full legal right to produce the Event and sell Tickets to it, including all necessary venue agreements, licences and insurance; that Event information you provide is accurate; and that your Event complies with all applicable laws, including the Ticket Sales Act, 2017, the Liquor Licence and Control Act, 2019 where alcohol is served, and applicable municipal by-laws and fire-code capacity limits.

9.3 Payouts. We remit Ticket proceeds, less Service Fees, chargebacks and refunds, to your connected Stripe account. We may delay or withhold a payout where we reasonably determine there is elevated risk of cancellation or chargebacks.

9.4 Attendee data. Attendee personal information you receive through the Platform is subject to section 9 of our Privacy Policy. You must use it only for purposes the Attendee would reasonably expect in connection with the Event, obtain express consent before sending marketing (CASL), and not sell or rent it.

9.5 Indemnity. You will indemnify and hold harmless Geedup Pass from all claims, losses and costs arising out of your Event, your Content, or your breach of these Terms.

10. Check-in and Venue Conduct

Tickets are validated by scanning at the point of entry. A Ticket may be scanned once; the first valid scan admits the holder and subsequent presentations of the same code will be refused. Admission is subject to the Organizer's and venue's terms, including age verification — you may be required to present government-issued identification matching the name on the Ticket.

11. Ticket Transfer and Resale — Ontario Rules

Ontario law strictly regulates ticket resale.

11.1 Transfer only — no resale. The Platform does not currently offer a resale marketplace. You may not sell, list or advertise a Ticket for sale on any secondary marketplace, social platform or classified service. Tickets are non-transferable except with the direct involvement of the Organizer.

11.2 Speculative listings prohibited. You must not offer for sale a Ticket you do not yet possess.

11.3 Consequences of prohibited resale. Tickets resold in breach of this section may be cancelled without refund, and admission may be refused. We may report suspected breaches of the Ticket Sales Act, 2017 to the Ministry of Public and Business Service Delivery and Procurement.

12. Intellectual Property

The Platform, including its software, design and the Geedup Pass name and branding, is owned by us and is protected by copyright, trade-mark and other laws. We grant you a limited, revocable, non-exclusive licence to use the Platform for its intended purpose. Event names, artist names and artwork belong to their respective owners; their appearance on the Platform does not imply any endorsement of Geedup Pass.

13. User Content

By uploading Content (including Event listings and images), you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display that Content for the purpose of operating and promoting the Platform. You warrant that you own or have all necessary rights in your Content. If you believe Content on the Platform infringes your copyright, contact info@geedupentertainment.com with details of the work and your good-faith belief.

14. Third-Party Services and Links

The Platform integrates and links to third-party services (including Stripe for payments, Google Maps, and email delivery). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services or the content of linked sites.

15. Availability and Changes

We aim for high availability but do not guarantee that the Platform will be uninterrupted, timely, secure or error-free. We may modify, add or discontinue features at any time.

16. Disclaimers

To the fullest extent permitted by applicable law, and except for warranties that cannot be excluded under the Consumer Protection Act, 2002 (Ontario) or the Sale of Goods Act (Ontario): The Platform is provided "as is" and "as available". We do not warrant that any Event will take place, will meet your expectations, or will be of any particular quality, and we make no representation regarding the conduct, solvency or reliability of any Organizer, venue or performer.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be excluded or limited under applicable law.

17. Limitation of Liability

Subject always to section 16 and to your rights under applicable consumer protection legislation:

17.1 Neither party is liable to the other for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data, however caused.

17.2 Our aggregate liability to you arising out of these Terms or the Platform, in any twelve-month period, will not exceed the greater of (a) the total Service Fees you paid us during that period, and (b) CAD $100.

17.3 We are not liable for any loss arising from an Event itself, including cancellation, postponement, injury, or the acts or omissions of an Organizer, venue or performer.

18. Indemnity

You will indemnify, defend and hold harmless Geedup Pass and its personnel from and against all third-party claims, losses and costs arising out of or relating to: (a) your breach of these Terms; (b) your Content; (c) your violation of any law or third-party right; or (d) if you are an Organizer, your Event.

19. Suspension and Termination

19.1 By you. You may stop using the Platform at any time. Closing your account does not cancel Tickets already purchased or obligations already incurred.

19.2 By us. We may suspend or terminate your access, with notice where reasonably practicable, if you breach these Terms or if we reasonably believe your use poses a risk of harm, fraud or legal liability.

20. Governing Law and Disputes

20.1 Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

20.2 Jurisdiction. The courts of the Province of Ontario have exclusive jurisdiction over any dispute arising out of these Terms. If you are a consumer resident in a Canadian province other than Ontario, nothing in this section deprives you of the protection of the mandatory consumer protection laws of your home jurisdiction.

20.3 Informal resolution first. Before commencing proceedings, please contact us at info@geedupentertainment.com with a description of the dispute. We will make a good-faith effort to resolve it within 30 days.

20.4 Consumer rights preserved. Nothing in these Terms requires an Ontario consumer to arbitrate a dispute or waives any right to commence or participate in a class proceeding. Under section 7 of the Consumer Protection Act, 2002 (Ontario), any purported waiver of a consumer's substantive or procedural rights is void, and consumers retain their statutory right to bring an action in court and to participate in class proceedings.

20.5 Limitation period. Except where a longer period is required by law, any claim arising out of these Terms must be commenced within the period prescribed by the Limitations Act, 2002 (Ontario).

21. General

21.1 Changes to these Terms. We may amend these Terms. We will post the updated version with a revised "Last updated" date and, for material changes, give at least 30 days' notice before they take effect. Changes do not apply retroactively to Tickets already purchased.

21.2 Notices. We may send notices to the email address on your account or by posting in the Platform. Notices to us should go to info@geedupentertainment.com.

21.3 Assignment. You may not assign these Terms without our written consent.

21.4 Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between us regarding the Platform.

21.5 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in force.

21.6 Force majeure. Neither party is liable for failure to perform (other than payment obligations) due to causes beyond its reasonable control.
